Terms of Service

Effective date: July 4, 2026

These Terms govern the conditions and procedures for using the web and mobile service (the "ValueCrab") provided by Value Tree, Ltd. (the "Company"), and set out the rights, obligations, and responsibilities of the Company and users.

This English text is provided for convenience only. The official language of these Terms is Korean; in the event of any discrepancy between the Korean and English versions, the Korean version prevails.

Article 1 (Purpose)

The purpose of these Terms is to set out the rights, obligations, and responsibilities of the Company and users, and other necessary matters, in connection with the use of ValueCrab, an information service providing value-investing information on US and Korean stocks.

Article 2 (Definitions)

  1. "ValueCrab" means all information tools provided by the Company relating to value investing in US and Korean stocks, including data, metrics, reports, and calculators.
  2. "User" means members and non-members who use ValueCrab provided by the Company under these Terms.
  3. "Member" means a person who has registered by providing personal information to the Company and may use ValueCrab on an ongoing basis.
  4. "Content" means all information provided through ValueCrab, including financial data, metrics, reports, AI-generated summaries, and charts.

Article 3 (Effect and Amendment of Terms)

  1. These Terms take effect when posted on the ValueCrab screen or otherwise notified to users.
  2. The Company may amend these Terms within the scope permitted by applicable law. Upon amendment, the effective date and reasons will be announced at least 7 days in advance (30 days in advance for changes unfavorable to users).
  3. If a user does not agree to the amended Terms, the user may stop using ValueCrab and withdraw membership.

Article 4 (Registration and Accounts)

  1. Users may apply for membership via email sign-up or third-party social login such as Google or Kakao.
  2. During the beta period, the Company may operate an approval system for sign-up requests, and use of ValueCrab may be restricted until approval.
  3. As a rule, each member may hold one account and is responsible for managing their account information; if an account is used fraudulently, the member must notify the Company immediately.
  4. The Company may refuse approval of, or subsequently terminate, an application that falls under any of the following:
    • Stealing another person's information or providing false information;
    • Interfering with the normal operation of ValueCrab;
    • Violating applicable law or these Terms;
    • A single person creating multiple accounts to use the free service.

Article 5 (Provision and Modification of ValueCrab)

  1. The Company provides value-investing metrics, financial data, AI summaries, calculators, weekly reports, and more for US- and Korea-listed companies.
  2. The Company may modify or discontinue all or part of ValueCrab as required for content, operational, or technical reasons, in which case it will give prior notice.
  3. The Company may temporarily suspend the provision of ValueCrab in cases of force majeure such as scheduled maintenance, equipment failure, or natural disaster.

Article 6 (Investment Disclaimer — Important)

  1. All information, data, and reports provided by the Company are informational tools that organize and visualize public market data and disclosures, and are reference material for investment decisions.
  2. Data on ValueCrab is based on official sources — DART for Korea and the SEC for the US — but in some cases also draws on data from Yahoo Finance and Naver Finance. The Company does not guarantee the accuracy of the data, so please re-verify the original disclosures yourself before investing.
  3. The Company makes no warranty, express or implied, as to the accuracy, completeness, timeliness, reliability, or fitness for a particular purpose of the information provided through ValueCrab, and all information is provided "as is".
  4. ValueCrab's data is collected and processed from sources such as DART and the SEC and third parties such as Yahoo Finance and Naver Finance, and the Company is not responsible for any consequences arising from delays, errors, omissions, changes, or interruptions in such third-party data.
  5. ValueCrab does not constitute a quasi-investment-advisory, investment-advisory, or discretionary-investment business, and does not recommend buying or selling any particular security.
  6. AI-generated summaries and interpretations may contain errors or inaccuracies. Users are responsible for verifying the original sources and disclosures themselves.
  7. Investing carries the risk of principal loss, and all investment decisions and their outcomes are solely the user's responsibility.

Article 7 (Paid Services and Payment)

  1. The Company may provide some features of ValueCrab on a paid (subscription) basis; pricing, payment, and refund policies are announced on the payment screen and through separate notices.
  2. Depending on the user's country or region, payments may be processed through a domestic payment provider (such as Toss Payments) or an overseas payment provider (such as Paddle), and that provider's terms also apply.
  3. Users may cancel a paid subscription at any time, and refunds follow applicable law and the Company's refund policy.
  4. Prices shown during the beta period are provisional and will be finalized and announced at official launch.

Article 8 (User Obligations)

Users must not engage in any of the following:

Article 9 (Intellectual Property)

  1. Copyright and intellectual property rights in ValueCrab and the Content belong to the Company. However, rights in the underlying disclosures and market data belong to their respective rights holders.
  2. With respect to compilations and databases that the Company creates by collecting, organizing, processing, and visualizing data, the Company holds the copyright in the compilation and the rights of the database producer, separately from the rights in the underlying data.
  3. Users may not reproduce, transmit, publish, or distribute the Content without the Company's prior consent.
  4. Against users who infringe the Company's rights in violation of this Article or Article 8, the Company may, in addition to suspension or termination, pursue civil and criminal legal action and claim damages.

Article 10 (Termination and Restriction of Use)

  1. Members may request withdrawal at any time through the features within ValueCrab or via customer inquiry.
  2. If a user violates these Terms, the Company may restrict use or terminate the contract after prior notice (or subsequent notice in urgent cases).

Article 11 (Limitation of Liability)

  1. The Company is not liable for disruptions to ValueCrab caused by natural disaster, force majeure, or the user's own fault.
  2. Unless otherwise specifically required by applicable law, the Company is not liable in connection with the use of ValueCrab provided free of charge.
  3. The Company is not liable for investment decisions made in reliance on ValueCrab's information or their outcomes.
  4. The Company is not liable for any indirect, incidental, special, or consequential damages, or lost profits arising in connection with the use of ValueCrab.
  5. Even where the Company bears liability to a user, the scope of compensation shall not exceed, to the extent permitted by applicable law, the fees the user paid to the Company in the most recent one month.
  6. The limitations in this Article apply to the extent permitted by applicable law and do not apply to damages caused by the Company's intent or gross negligence.

Article 12 (Governing Law and Jurisdiction)

These Terms are interpreted under the laws of the Republic of Korea, and any dispute arising in connection with the use of ValueCrab is subject to the court having jurisdiction under the Civil Procedure Act.
